Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Plenixa LLC, a California limited liability company doing business as VizMenu (“Company,” “we,” “us,” or “our”), governing your access to and use of the VizMenu platform and related services (the “Service”).

By accessing or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To access certain features, you must create an account.

You agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized use

You are responsible for all activity under your account.

3. Subscriptions & Billing

VizMenu operates on a subscription basis.

• Subscription fees are billed in advance.
• Subscriptions automatically renew unless canceled before the end of the billing period.
• You authorize us (via Stripe or our payment processor) to charge your payment method on file for recurring fees.

We may change subscription pricing upon reasonable notice. Continued use after such notice constitutes acceptance of updated pricing.

4. Refund Policy

All subscription fees are non-refundable unless otherwise required by law.

If you cancel your subscription, your access will continue until the end of the current billing period.

5. Acceptable Use

You agree not to:

• Upload unlawful, infringing, harmful, or misleading content
• Use the Service for fraudulent activity
• Attempt to hack, reverse engineer, scrape, or disrupt the platform
• Distribute malware or harmful code
• Misrepresent pricing or food information unlawfully

Violation may result in suspension or termination without refund.

6. Intellectual Property

All rights, title, and interest in the Service — including software, design, trademarks, and content — are owned by Plenixa LLC.

You retain ownership of content you upload but grant us a limited, non-exclusive, worldwide license to host, reproduce, and display such content solely for the purpose of operating and providing the Service.

7. Service Availability

We strive to maintain reliable access but do not guarantee uninterrupted or error-free operation.

The Service is provided on an “as is” and “as available” basis.

We reserve the right to modify, suspend, or discontinue features at any time.

8. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided without warranties of any kind, express or implied.

Plenixa LLC disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any defects will be corrected
• The Service will meet your specific requirements

Your use of the Service is at your sole risk.

9. Limitation of Liability

To the maximum extent permitted by law:

Plenixa LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total liability arising out of or relating to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. No Service Level Agreement

Unless explicitly agreed in writing, the Service is provided without any service level agreement (SLA), uptime guarantee, or performance commitment.

We may modify, suspend, or discontinue any part of the Service at any time without liability.

11. Indemnification

You agree to indemnify and hold harmless Plenixa LLC from any claims, damages, losses, liabilities, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your content or conduct

12. Force Majeure

Plenixa LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to:

• Acts of God
• Natural disasters
• Internet or hosting provider outages
• Power failures
• Labor disputes
• Governmental actions
• Cyberattacks
• Third-party service interruptions

Performance obligations shall be suspended for the duration of such events.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

14. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall take place in the State of California.

You agree to waive any right to a jury trial and any right to participate in a class action or representative proceeding.

15. Termination

We may suspend or terminate your account at any time if you violate these Terms.

Upon termination, your right to access the Service ceases immediately.

16. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
